Software License Agreement

1. Agreement

This End User License Agreement ("Agreement") applies to SIDRA OS and related SIDRA-authored software and documentation. By purchasing, installing, activating, accessing, or using SIDRA, you agree to this Agreement and the Terms of Service. If you do not agree, do not install, activate, access, or use SIDRA.

2. License grant

During an active paid or authorized trial subscription, SIDRA grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the SIDRA-authored software on the number of devices authorized by your plan for your own lawful business or personal purposes.

SIDRA is licensed, not sold. No ownership of SIDRA source code, software, branding, or other SIDRA intellectual property is transferred to you.

3. Activation and subscription

Protected SIDRA functionality may require an active subscription, activation key, device activation, online entitlement verification, or other license controls. You may not share activation credentials with unauthorized persons, exceed authorized device limits, or bypass, disable, falsify, interfere with, or defeat subscription or activation controls.

Access may stop when your paid or authorized period ends or otherwise becomes inactive under the applicable purchase terms.

4. Restrictions

Except where applicable law expressly gives you a non-waivable right, and except for rights granted by a third-party component's own license, you may not copy or redistribute SIDRA-authored software beyond reasonable backups for your own authorized use; sell, rent, lease, sublicense, publish, host for third parties, or transfer it; reverse engineer, decompile, disassemble, derive source code from, or create derivative works of it; remove SIDRA proprietary notices; or bypass security, safety, subscription, activation, or usage controls.

5. Third-party and open-source components

SIDRA includes third-party and open-source components. Those components are licensed by their respective copyright holders under their own license terms, not under SIDRA's proprietary license. Where a third-party license grants rights that conflict with a restriction in this Agreement, that third-party license controls for that component.

SIDRA does not claim ownership of those components or use this Agreement to remove rights their licenses require us to preserve. See Open Source Notices and the license files distributed with the software.

6. Ownership

SIDRA and its licensors retain all right, title, and interest in the SIDRA-authored software and related intellectual property except for the limited license expressly granted here. No trademark, logo, product-name, or branding rights are granted beyond ordinary identification of the product.

7. Updates

SIDRA may provide security, reliability, compatibility, or feature updates. Updates may replace or modify existing software and, unless separate terms are presented, remain governed by this Agreement.

8. Local and connected services

SIDRA may interact with your computer, local files, applications, browsers, command-line tools, AI providers, and other third-party services when you direct or authorize those actions. You are responsible for having the rights and permissions necessary for the systems, accounts, data, and services you choose to use with SIDRA.

9. Privacy

Personal-data handling by SIDRA is described in our Privacy Policy. Data processed locally or sent directly to services you choose may also be governed by your configuration and those providers' terms.

10. Fees, renewal, and cancellation

Subscription fees, billing periods, taxes, renewal, cancellation, refund rights, and trial terms are governed by the terms shown at purchase, our Refund & Cancellation Policy, and mandatory law that applies to you. Cancellation does not transfer ownership of SIDRA or authorize use after the paid or otherwise authorized period ends.

11. Confidential non-public materials

Non-public SIDRA source code, private technical materials, credentials, security information, and other materials reasonably understood as confidential must not be disclosed or used except as authorized by SIDRA or required by law.

12. Warranty disclaimer

To the maximum extent permitted by law, SIDRA-authored software is provided "as is" and "as available." SIDRA disclaims warranties that may lawfully be disclaimed, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing here excludes rights or warranties that applicable law does not permit to be excluded.

13. Limitation of liability

To the maximum extent permitted by law, SIDRA will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, business, goodwill, or data arising from or related to the software. Where legally permitted, aggregate liability will not exceed the amount paid for SIDRA during the twelve months preceding the event giving rise to the claim.

14. Termination

Your license may end when your subscription or authorized access ends or if you materially breach this Agreement, subject to any cure rights required by law. When the license ends, you must stop using the SIDRA-authored software. Third-party license rights and provisions intended to survive remain unaffected.

15. Lawful use

You must comply with applicable law, including export-control and sanctions requirements where relevant, and may not use SIDRA where that use is prohibited.

16. Changes

SIDRA may update this Agreement for future versions, subscriptions, legal requirements, security requirements, or material service changes. Where law requires notice or consent for a change affecting an existing paid subscription, SIDRA will provide it.

17. Governing terms

This Agreement is governed by the law specified in the applicable order, checkout terms, or Terms of Service. If none is specified, the law applicable to SIDRA's principal place of business applies, without displacing mandatory consumer protections or other non-waivable rights.
